1. Introduction & Purpose
This Member Agreement (the “Agreement”) is entered into between SilverHeart Medical Group & Logistics, LLC (“SilverHeart,” “we,” “our”), founded and directed by Adam J. Silver, MD, MHA, FACC (“Dr. Silver”), and the undersigned patient (“Member,” “you,” “your”).
SilverHeart Medical Group is a private membership cardiology practice offering concierge cardiovascular care, digital health integration, and remote patient monitoring programs. This Agreement governs the terms of your membership, outlines the services included, describes your rights and responsibilities, and provides important disclosures regarding our practice model, technology use, and billing practices.
By signing this Agreement, you acknowledge that you have read, understand, and agree to the terms and conditions set forth herein.
2. The SilverHeart Value Proposition
SilverHeart was designed from the ground up to restore the doctor-patient relationship in cardiovascular medicine. Your membership provides access to a practice model that is fundamentally different from conventional cardiology. The value of your membership includes, but is not limited to, the following:
2.1 Direct Personal Access
- Dr. Silver’s personal mobile phone number, available for urgent clinical concerns 24 hours a day, 7 days a week
- Extended, unhurried office and telemedicine visits with no arbitrary time limits
- Rapid scheduling with priority appointment access, typically within 48 hours for new or urgent symptoms
- Unlimited secure chart messaging directly with Dr. Silver through the Healow patient portal for non-urgent questions, updates, and care coordination
2.2 Personally Delivered Clinical Care
- Dr. Silver personally performs digital EKG and bedside point-of-care cardiac ultrasound (POCUS) when clinically appropriate during your visits — you are evaluated by your cardiologist, not a technician
- Comprehensive annual cardiovascular risk review with a personalized, individually tailored care plan updated each year
- Proactive outreach — Dr. Silver provides proactive check-ins and follow-up as part of your care, complementing your own active role in self-advocacy and health management
2.3 Elite Care Coordination
- Dr. Silver will communicate to the best of his ability with your primary care physician, specialists, and care team members that you identify. We rely on you to keep us informed about who is involved in your care and to provide updates on your care team, understanding that healthcare can be fragmented and it may not always be apparent who to coordinate with without your active involvement in keeping that information current
- Real-time care coordination during visits: Dr. Silver may call external staff, testing centers, and specialists on your behalf while you are still in the office to schedule tests, imaging, and follow-up appointments
- Post-hospitalization priority: after any hospitalization, you see Dr. Silver directly with priority scheduling when it matters most. Dr. Silver communicates with your hospital care team and may visit you in person when feasible
2.4 Patient & Family Engagement
- Dr. Silver dedicates meaningful time and energy to building a strong rapport with your family members, caregivers, and advocates so that your support system is informed and involved in your care
- Direct communication channels available to authorized family members as designated by you
2.5 Custom Designed Educational Content
- Access to SilverHeart’s custom-designed patient education programs covering conditions such as hypertension, hyperlipidemia, atrial fibrillation, heart failure, coronary artery disease, diabetes, obesity, and more
- Condition-specific courses through the SilverHeart Apex Community (available with Apex add-on membership)
2.6 Digital Health & Remote Monitoring Programs
- Direct access to SilverHeart’s Chronic Care Management (CCM), Principal Care Management (PCM), and Remote Patient Monitoring (RPM) programs, clinically overseen by Dr. Silver
- State-of-the-art integration with wearable devices and remote monitoring equipment, subject to ongoing upgrades as technology evolves, so your cardiac data flows directly to your care team between visits
- Dedicated wellness coaching and care coordination through SilverHeart’s digital health ecosystem
3. Membership Tiers & Pricing
SilverHeart offers the following annual membership tiers. All tiers include the full suite of membership benefits described in Section 2.
Launch Promotion (expires July 20, 2026): Patients who enroll during the first 90 days lock in current introductory rates — 25% below standard pricing — for their first two years of membership. After July 20, 2026, standard rates increase to $4,000/year, Concierge PCP to $3,500/year, and Couples to $3,500 per spouse per year. Apex and Base Camp are not included in this promotion.
3.1 Long-Term Commitment Options
- Individual Long-Term: $10,000 in your first year provides 4 years of membership plus one year of Apex included. Renew Apex annually for $2,000/year. Flexible payment options available.
- Couples Long-Term: $20,000 in your first year provides 5 years of membership for both partners plus one year of Apex for each. Renew Apex annually for $2,000/year per member.
3.2 Apex Add-On Program
SilverHeart Apex is an elite digital health management add-on program available to all membership tiers at $2,000/year. Apex includes individualized exercise prescription, personalized nutritional wellness planning, continuous remote monitoring, a dedicated personal health coach, monthly group fitness sessions with Dr. Silver, optional VO₂ Max testing and coronary CTA, and access to the SilverHeart Apex Community with buddy system and condition-specific education courses.
4. Non-Member & Consultation Services
4.1 Consultation Fee
Patients who are not yet members may schedule a comprehensive consultation (office or telemedicine) for a fee of $600. This fee applies to both initial consultations and in-office follow-up visits for non-members. Telemedicine follow-up visits for non-members are $300.
4.2 Conversion Credit
Conversion Credit: If you elect to convert from a consultation patient to a full member or enroll in the Base Camp program, eligible payments made toward consultation fees will be credited toward your annual membership fee or Base Camp enrollment fee. This provides a seamless path to full membership without losing your initial investment.
4.3 À La Carte Chart Messaging Packages (Non-Members)
Non-members who wish to maintain secure chart messaging access with Dr. Silver outside of scheduled visits may purchase messaging packages:
- 6-Month Chart Messaging Package — pricing as quoted at time of enrollment
- 12-Month Chart Messaging Package — pricing as quoted at time of enrollment
Package pricing is available upon request. Members receive unlimited chart messaging as part of their membership at no additional cost.
5. Insurance Billing & Copayment Policy
The annual membership fee is a direct fee paid to SilverHeart Medical Group and is not billed to insurance. However, billable medical services rendered during your care — including but not limited to evaluation and management visits, diagnostic testing, EKGs, echocardiograms, and other procedures — will be billed to your health insurance as appropriate.
Copayments, coinsurance, and deductibles will be assessed in accordance with your specific insurance plan and applicable insurance billing compliance requirements. SilverHeart is committed to full compliance with all federal and state regulations governing insurance billing. You are responsible for any patient responsibility amounts determined by your insurance carrier, and these amounts will be collected in accordance with standard billing practices.
SilverHeart will make reasonable efforts to verify your insurance benefits; however, final determination of coverage is made by your insurance carrier. You will be notified of any anticipated out-of-pocket costs for elective or optional services prior to their performance whenever possible.
6. Hospital Visits & Inpatient Care Limitations
Dr. Silver values the continuity of your care and is committed to being present for you during significant health events. If you are hospitalized, Dr. Silver will:
- Communicate directly with your inpatient care team to ensure coordination and continuity
- Provide daily updates and clinical guidance to your family and advocates as appropriate
- Offer social visits to you in the hospital when logistically feasible
Important Limitation: Dr. Silver does not currently hold active staff privileges at hospitals. Hospital visits by Dr. Silver are social and supportive in nature and do not constitute inpatient attending or consulting physician services. Your inpatient medical care will be directed by the hospital’s attending physicians and care team. Dr. Silver’s role during hospitalization is limited to coordination, communication, and advocacy on your behalf from outside the formal hospital medical staff structure.
7. Technology, Artificial Intelligence & Innovation Disclosures
SilverHeart Medical Group is committed to leveraging cutting-edge technology to enhance the quality, efficiency, and personalization of your cardiovascular care. The following disclosures describe our use of technology tools, including those powered by artificial intelligence (AI).
7.1 Ambient AI Medical Scribes
SilverHeart may utilize ambient AI-powered medical scribe technology during your office and/or telemedicine visits. These tools use artificial intelligence to listen to the clinical conversation between you and Dr. Silver and generate draft clinical documentation (such as visit notes and summaries) in real time or near-real time.
Your consent: By signing this Agreement, you consent to the use of ambient AI scribe technology during your visits. You may opt out of AI scribe use for any individual visit by notifying Dr. Silver or staff at the beginning of that visit. Opting out will not affect the quality of your care.
All AI-generated documentation is reviewed, edited, and finalized by Dr. Silver before it becomes part of your official medical record. The AI scribe does not make clinical decisions.
7.2 AI Clinical Decision Support Tools
Dr. Silver may, at his professional discretion, utilize AI-powered clinical decision support tools to assist in the interpretation of diagnostic data, risk stratification, literature review, and care pathway optimization. These tools serve as supplementary resources to support — not replace — Dr. Silver’s independent clinical judgment.
All recommendations generated by AI clinical decision support tools are evaluated by Dr. Silver in the context of your unique medical history, clinical presentation, and individual needs before any clinical action is taken.
7.3 AI-Assisted Care Plan Drafting
SilverHeart may employ artificial intelligence to assist in the drafting of individualized care plans, treatment summaries, patient education materials, and clinical correspondence. AI may be used to generate initial drafts based on your clinical data, evidence-based guidelines, and Dr. Silver’s treatment directives.
Critical safeguard: Every AI-assisted care plan, document, or communication is personally reviewed, verified, and approved by Dr. Silver in the context of his clinical judgment before it is finalized or shared with you. AI-generated content is never delivered to patients or incorporated into your medical record without physician review and authorization.
7.4 General AI Disclosure
Artificial intelligence is a rapidly evolving field. SilverHeart is committed to responsible, transparent, and patient-centered use of AI. We will update this disclosure as our technology practices evolve. If you have questions or concerns about any AI tools used in your care, you are encouraged to discuss them directly with Dr. Silver at any time.
8. Health Information Exchange & Interoperability Consent
8.1 Prisma Interoperability Hub
SilverHeart Medical Group utilizes Prisma, a health information interoperability platform, to facilitate the secure electronic exchange of your health information among your care providers. Prisma enables SilverHeart to:
- Retrieve and consolidate your medical records from participating healthcare organizations, hospitals, laboratories, imaging centers, and pharmacies
- Share relevant clinical information with your other treating providers to ensure coordinated, informed care
- Receive electronic notifications regarding hospital admissions, discharges, and emergency department visits (ADT alerts) so that Dr. Silver can initiate timely follow-up
- Integrate your health data into SilverHeart’s electronic medical record system for a complete, unified view of your cardiovascular health
8.2 Your Consent
By signing this Agreement, you consent to SilverHeart’s use of the Prisma interoperability platform to access, retrieve, and share your protected health information (PHI) as described above, in accordance with applicable federal and state privacy laws, including the Health Insurance Portability and Accountability Act (HIPAA).
You may revoke this consent at any time by providing written notice to SilverHeart Medical Group. Revocation of consent will not affect information previously exchanged prior to the date of revocation.
9. Digital Health Programs: CCM, PCM & RPM
As a SilverHeart member, you have direct access to clinically supervised digital health programs that extend your cardiovascular care beyond the office visit:
- Chronic Care Management (CCM): Ongoing, structured support for patients managing chronic cardiovascular conditions. Includes regular check-ins with a dedicated care coordinator, medication management support, behavioral health resources, and care plan adherence coaching.
- Principal Care Management (PCM): Dedicated care coordination for patients whose cardiovascular condition is their primary health concern, providing focused attention and streamlined management.
- Remote Patient Monitoring (RPM): Continuous tracking of vital cardiac metrics from home — blood pressure, heart rate, weight, and more — with data reviewed by your care team between visits.
These programs are covered by most insurance plans. Dr. Silver provides ongoing clinical oversight of all digital health programs. Enrollment in these programs is determined based on clinical appropriateness as assessed by Dr. Silver.
10. General Terms & Conditions
10.1 Term & Renewal
This Agreement is effective for a period of one (1) year from the date of execution. Membership will automatically renew annually unless either party provides written notice of non-renewal at least thirty (30) days prior to the renewal date.
10.2 Termination
Either party may terminate this Agreement with thirty (30) days’ written notice. Refunds for early termination will be assessed on a prorated basis at the discretion of SilverHeart Medical Group, less any administrative fees.
10.3 Scope of Practice
SilverHeart provides outpatient cardiovascular care. This Agreement does not establish an emergency medicine, primary care, or inpatient attending physician relationship. In the event of a medical emergency, call 911 immediately.
10.4 Communication
SilverHeart uses secure electronic communication channels including the Healow patient portal, chart messaging, and telemedicine platforms. Dr. Silver’s personal mobile number is provided for urgent clinical matters. Non-urgent administrative inquiries should be directed to info@silverheartmd.com or (847) 378-7268.
10.5 Travel, Availability & Telemedicine Licensure
Barring emergencies, Dr. Silver will notify members at least one (1) week in advance of any planned travel or periods of reduced availability. During these periods, non-urgent clinical matters will be fielded by SilverHeart nursing and support staff, who will triage and escalate as clinically appropriate. Urgent matters will continue to be addressed through Dr. Silver’s personal mobile line whenever possible.
While traveling, Dr. Silver reserves the ability to offer telemedicine visits from his location when feasible. Availability for televisits during travel periods will be communicated on a case-by-case basis and is not guaranteed.
Dr. Silver is registered to practice telemedicine for patients residing in Florida in addition to Illinois. Multi-state telemedicine licensure is ongoing, and additional states may be added over time. Please inquire about current telemedicine enrollment and evaluation coverage for your state of residence.
10.6 Privacy & Confidentiality
SilverHeart complies with HIPAA and all applicable state and federal privacy regulations. Your protected health information will be used and disclosed only in accordance with our Notice of Privacy Practices, which will be provided to you separately.
10.7 Limitation of Liability
SilverHeart Medical Group and Dr. Silver are not liable for outcomes related to care provided by third-party providers, hospital-based care teams, or services outside the scope of this Agreement. SilverHeart will make every reasonable effort to coordinate and advocate on your behalf, but cannot guarantee specific clinical outcomes.
10.8 Governing Law
This Agreement shall be governed by the laws of the State of Illinois.
11. Acknowledgment & Signatures
By signing below, I acknowledge that:
- I have read and understand this Member Agreement in its entirety.
- I consent to the use of ambient AI medical scribe technology, AI clinical decision support tools, and AI-assisted care plan drafting as described in Section 7, subject to Dr. Silver’s personal review and clinical oversight.
- I consent to SilverHeart’s use of the Prisma interoperability platform for health information exchange as described in Section 8.
- I understand that copayments, coinsurance, and deductibles will be assessed in accordance with my insurance plan and applicable compliance requirements.
- I understand that Dr. Silver does not hold hospital staff privileges and that hospital visits are social and supportive in nature.
- I understand the membership fee is a direct fee not billed to insurance, and that billable medical services will be billed to my insurance as appropriate.
- I have had the opportunity to ask questions and have received satisfactory answers.
